Terms of Service

Last updated: August 2026

1. About these terms

These Terms of Service ("Terms") govern any engagement between FiTech ("we", "us", "our") and a client ("you") for software development, technology consulting, cybersecurity, or FiTech Academy training services. By engaging us for a project, signing a proposal, or using our website to request services, you agree to these Terms.

2. Engagements and scope

Each engagement is governed by a written proposal, statement of work, or signed agreement that sets out the specific scope, deliverables, timeline, and fees for that engagement. Where anything in a signed agreement conflicts with these Terms, the signed agreement takes priority.

3. Fees and payment

Fees are as set out in your proposal or plan. Ghana-based clients may pay via mobile money or local bank transfer; international clients are invoiced in USD or GBP via bank transfer or card, unless otherwise agreed. Late payments may pause active work until resolved. Project deposits are refundable within 7 days of payment if discovery work has not yet started, as noted on our Pricing page.

4. Intellectual property

Unless otherwise agreed in writing, ownership of custom code and deliverables built specifically for your project transfers to you upon full payment. We retain ownership of our own pre-existing tools, frameworks, and internal libraries used to deliver the work, and may reuse general knowledge, techniques, and non-confidential approaches in future engagements.

5. Confidentiality

We treat information you share with us about your business, systems, and data as confidential, and will not disclose it to third parties except as needed to deliver the engagement or as required by law. We expect the same courtesy regarding our proprietary methods and unpublished pricing.

6. Client responsibilities

Timely feedback, access to necessary systems or accounts, and accurate information about your requirements are needed for us to deliver on schedule. Delays caused by missing input, access, or approvals on your side may extend agreed timelines accordingly.

7. Warranties and limitations

We deliver work with reasonable skill and care, consistent with standard industry practice. Except as expressly stated in a signed agreement, services are provided without further warranties, and our liability for any claim arising from an engagement is limited to the fees paid for that specific engagement.

8. Termination

Either party may terminate an ongoing engagement with written notice, subject to any notice period stated in your specific agreement. You remain responsible for fees for work completed up to the termination date.

9. Governing law

These Terms are governed by the laws of the Republic of Ghana. For international clients, we are open to discussing an alternative governing law or dispute-resolution process as part of a specific engagement agreement.

10. Changes to these terms

We may update these Terms from time to time. Material changes will be reflected with an updated date below, and continued engagement after changes take effect constitutes acceptance of the revised Terms.
